Terms of Service

The Service is intended for business use (B2B). You represent that you have authority to bind your company and that you will use the Service lawfully.

• You are authorized to accept these Terms on behalf of your company.
• Keep credentials confidential; you are responsible for activity under your account.
• Provide accurate information and use the Service only as permitted by law and these Terms.

• Do not use the Service for unlawful content or activity.
• Do not interfere with or abuse platform resources or other users.
• Do not attempt to bypass security or access data without authorization.
• Do not infringe intellectual property or proprietary rights.

You retain your rights in the content you upload. You allow us to process it as needed to provide the agreed service. We retain rights in the BookkeeperHR software and branding; using the service does not transfer those rights.

You retain responsibility for the records you place in a workspace, including lawful collection, access permissions, retention instructions and notices to employees or other individuals. We process customer workspace records under the applicable data processing agreement. We use confidential customer records to provide, secure and support the service under the applicable agreement and instructions. Access must be limited to what is needed for those purposes.

We aim for high availability but do not guarantee uninterrupted service. We may improve or modify features; material changes will be communicated.

• Service: the BookkeeperHR application, APIs and related tools we provide.
• Customer Data: data you or your users submit to the Service.
• User: individuals you authorize to access your workspace.

• The current founding offer described on the homepage includes a 30-day free trial. Any different access terms must be agreed with you.
• Beta/experimental features may be provided as-is and can be changed or removed at any time.
• Any paid continuation must be explained and agreed before charging. A booking, enquiry or trial registration does not authorise an automatic payment.

Infrastructure providers support hosting, authentication, storage and email. Google sign-in and the Calendly booking calendar are optional user choices. Their own notices apply to their services. The provider list explains their roles; consent to optional booking is not a condition of using BookkeeperHR.

If you send ideas or suggestions, you grant us a royalty-free, worldwide, irrevocable right to use them to improve the Service.

We will ask for permission before using your company’s name or logo in public customer stories or promotional material.

You represent that you are not barred by applicable export laws or sanctions and will not use the Service in violation of such laws.

Neither party is liable for failures due to events beyond reasonable control (e.g., outages, natural disasters, war, strikes).

• Notices may be provided by email or within the Service; you must keep your contact details current.
• These Terms are the entire agreement and supersede prior understandings.
• If a provision is invalid, the rest remains effective; the provision will be enforced to the maximum allowable extent.
• A failure to enforce a provision is not a waiver.
• You may not assign these Terms without our consent; we may assign to an affiliate or in a reorganization.
• Terms that by nature should survive (e.g., confidentiality, IP, liability limits) will survive termination.

BookkeeperHR does not currently collect card details or operate an in-app billing system. Any future paid service will have separately communicated and agreed pricing and payment terms.

• You may stop using the Service at any time and request account deletion.
• We may suspend or terminate for breach, security risks, or unlawful use.
• Ending access or archiving a workspace does not immediately delete all records. Account erasure, scheduled workspace deletion and any legally required retention follow the processes described in the Privacy Policy and the applicable agreement.

The Service is provided 'as is' and 'as available' without warranties of any kind to the maximum extent permitted by law.

To the maximum extent permitted by law, we are not liable for indirect or consequential damages. Our aggregate liability is limited to amounts paid for the Service in the 12 months preceding the claim (if any).

You will indemnify us against claims arising from your unlawful use of the Service or violation of these Terms.

These Terms are governed by the laws of Hungary. Courts located in Budapest, Hungary have exclusive jurisdiction, unless otherwise required by law.

We may update these Terms from time to time. Material changes will be communicated and apply prospectively.
